EMPLOYMENT CANDIDATE NON-DISCLOSURE AGREEMENT THIS AGREEMENT is effective as of the ___ day of ________ 2010 by and between Vistaprint USA, Incorporated (together with its parent, subsidiaries and affiliates, “Vistaprint”), a Delaware corporation with a principal place of business at 95 Hayden Avenue, Lexington, Massachusetts 02421 and ____________________________________ (the “Candidate”). 1. Background. Vistaprint and the Candidate (collectively, the “Parties” and individually, a “Party”) are currently engaged discussions regarding the possible employment of Candidate by Vistaprint. In the course of such discussions, it is anticipated that Vistaprint may disclose, deliver or otherwise make available to the Candidate certain of Vistaprint's Confidential Information (as defined herein). The Parties are entering into this Agreement in order to define the Candidate’s obligations with respect to Vistaprint’s Confidential Information. 2. Definitions. For the purposes of this Agreement, the words and phrases below shall have the following meanings: (a) “Confidential Information” means any and all data or information that is of value to Vistaprint and is not generally known in the industry or to competitors of Vistaprint, and includes, but is not limited to, business information, specifications, research, software, trade secrets, discoveries, ideas, know-how, designs, drawings, flow charts, data, computer programs, marketing plans, customer names, budget figures, and other technical financial and business information concerning Vistaprint, or any such information of clients, customers, parents, affiliates, subsidiaries or agents of Vistaprint, which is disclosed by Vistaprint, whether directly in oral or material form to the other the Candidate, or indirectly, by permitting the Candidate to observe the conduct of Vistaprint’s various operations or processes, but shall not include Non-Proprietary Information; and (b) “NonProprietary Information” means information that:
